حررت هذه الوكاله في هذا اليوم ............. من شهر ......... سنة ................ من قبل ............................................................... وهي شركة قائمه ومؤسسة بموجب قوانين .................................. ويقع مقرها .................................... (المشار إليها فيما بعد بـ الشركة).

يشهدهذا الصك بأن الشركة المذكورة إسمها أعلاه تسمى وتوكيل وتعين بموجبه ......................... لأن يكون ممثلها الحقيقي والقانوني للشركة في المملكة الأردنية الهاشمية ولأن يقوم أو يجري نيابةً عنها وبإسمها بكل أو أي من الأفعال والأمور التالية:-

1. أن يقوم بتسجيل الشركة كشركة أجنبية عامله في الأردن وفقاً لقانون الشركات رقم (22) لسنة 1997 أو أي تعديلات عليه أو أي تشريع آخر متعلق بذلك.
2. لأن يكون ممثل الشركة المفوض بصورة قانونية في الأردن لجميع غايات ومقاصد قانون الشركات رقم (22) لسنة 1997 أو أي تعديلات عليه أو أي تشريع آخر متعلق بذلك.
3. أن يمثل الشركة في جميع الأمور أمام جميع الوزارات والسلطات والدوائر الحكومية والهيئات والمؤسسات والأشخاص والشركات في الأردن.
4. أن يسير ويدير شؤون مكتب الشركة في الأردن ويُصرف أعماله .
5. أن يقل التبليغات ويستلم التحارير والإشعارات نيابةً عن الشركة.
6. أن يوقع وينشيء ويحرر ويقدم ويسلم ويجري جميع الطلبات والصكوك والمستندات والنماذج والتصاريح والأعمال والأفعال والأشياء التي يرى الممثل المذكور أنها ضرورية أو مناسبة لإدارة أعمال الشركة وجميع الأعمال المنبثقة عن ذلك أو المتعلقة بذلك ولتسيير أمورها كشركة أجنبية عاملة في الأردن بموجب القانون الأردني.
7. أن يمثل الشركة أمام جميع المحاكم في المملكة الأردنية الهاشمية في جميع درجاتها واختصاصاتها وأمام المحكمين ولدىالسلطات والمؤسسات التنفيذية أو الإدارية والدوائر الحكومية بما في ذلك كتاب العدل ودائرة ضريبة الدخل ودائرة الجمارك في جميع مسائل الإدعاءات وقضايا المحاكم والدعاوي والمطالبات والمنازعات وقضايا الضريبة والرسوم والغرامات الجمركية والإستئنافات وإدعاءات أو إعتراضات الشخص الثالث والتقديرات وقضايا المحاسبة المقامة من قبل الشركة  أو ضدها أو التي تكون فريقاً فيها بأي شكل كان أو لها أية مصلحة فيها مع الصلاحية لأن تباشر وتدافع وتقاضي جميع ا لأعمال والإجراءات القانونية الضرورية.
8. لأن يمثل الشركة أمام  البنوك وفتح الحسابات وإغلاقها وإيداع أو سحب المبالغ من هذه الحسابات، عموماً لأن يكون مفوضاً عن الشركة بكافة الأمور المالية والقانونية المترتبة على ذلك.

9. تملك الأموال المنقولة وغير المنقولة ومن ضمنها السيارات وذلك لتنفيذ غايات الشركة في المملكة.

وأن الشركة تجيز وتثبت بموجب هذه الوكالة وتوافق على أن تجيز وتثّبت كل ما يقوم به بصورة قانونية الممثل المذكور.

Power of Attorney

Operating Foreign Company

This power of attorney was made this ……. Day of … two thousand and …… by …………………………………………………… a company duly whose registered office is at ……………………………..(hereinafter called the "Company").

 This deed witnesses that the above-mentioned company doth hereby nominate, constitute and appoint ………………………………… to be its true and lawful Representative (s) in the Hashemite Kingdom of Jordan and for it and in its name and on its behalf to do or perform all or any of the following acts and things:-

1. To register an operating foreign company in Jordan in conformity with the Companies Law in force No. (22) of 1997 and any amendments thereto or any other relevant legislation.
2. To act as the Company's duly authorized Representative(s) in Jordan for all intents and purposes of the Companies Law in force No.(22) of 1997 and its amendments thereto or any other relevant legislation.
3. To represent the company before all ministries, authorities, government departments, bodies, institutions, persons and companies in Jordan.
4. To operate and manage the affairs of the Company's office in Jordan and to conduct any business there of.
5. To accept service and receive letters and notices on the company's behalf.
6. To sign make, execute, file, submit and do all applications, instruments, documents, forms, declarations, acts, deeds and things which the said Representative(s) shall consider necessary or proper to operate the Company's affairs as an operating foreign company in Jordan in conformity with Jordanian Law and all matters emanating there from.
7. To represent the Company in all courts in the Hashemite Kingdom of Jordan of all classes and jurisdictions, before arbitrators and before an executive or administrative authorities and institutions, government departments including Notaries Public, Income Tax and Customs Departments in all matters or claims, courts actions, suits, demands, disputes, taxation, customs duties and penalties, appeals, third-party claims or oppositions, assessments and matters of account instated by our Company or against it or in which we are in any way a party or have any interest therein and with power to institute, defend and prosecute all necessary actions and legal proceedings.
8. To represent the company before banks, opening and closing accounts, depositing or withdrawing from these accounts. Generally, to act as the Company's duly authorized representative(s) in all financial and legal relevant matters.
9. To own movable and immovable assets including cars in order to execute the objectives of  the company in the Kingdom.

The Company hereby ratifies and confirms and agrees to ratify and confirm whatsoever shall be lawfully done by the said Representative(s) as aforesaid under or by virtue of these presents.
